Committee Confidentiality Agreement

Thanks for volunteering to be a member of the solar co-op Selection Committee! Your participation is fundamental to the co-op process. Along with other volunteers from the co-op, you can help review the competitive bids that Solar United Neighbors has solicited from local companies on behalf of the group. Then, with our technical guidance, the Selection Committee will choose one company to be the installer for everyone in the solar co-op.

Before we’re able to share the bids with you, however, we ask that you sign the a confidentiality agreement. This is important because the bids that companies provide often contain commercially sensitive information. In order to maintain a competitive bidding process for future co-ops, local companies need to feel comfortable submitting information to the group. Signing the confidentiality agreement allows us to share these competitive bids, and to discuss them freely within the Selection Committee.

Confidentiality Agreement

1. As a member of a Solar United Neighbors Neighborhood Solar Co-op Selection Committee I agree to keep the details of the bids submitted to the selection committee confidential. Public information about the solar co-op and all communications to the members of the solar co-op will be coordinated and approved by Solar United Neighbors.

Solar United Neighbors will disclose confidential information, which can be described as and includes:
The price and costs within each agreement, the specifics about company history, the specifics of equipment, engineering drawings, process descriptions and any other specific details on the submitted bids. I agree not to make copies of the bids, nor distribute or share the bids to anyone outside of the selection committee. I will not discuss the details of the selection process to the press or anyone outside of the selection committee unless it is approved or requested by Solar United Neighbors. I also agree not to share a copy of the RFP unless granted permission by Solar United Neighbors.
2. This Agreement imposes no obligation upon Recipient with respect to any Confidential Information (a) that was in Recipient’s possession before receipt from Discloser; (b) is or becomes a matter of public knowledge through no fault of Recipient; (c) is rightfully received by Recipient from a third party not owing a duty of confidentiality to the Discloser; (d) is disclosed without a duty of confidentiality to a third party by, or with the authorization of, Discloser; or (e) is independently derived by Recipient.

3. This Agreement states the entire agreement between the parties concerning the disclosure of Confidential Information. Any addition or modification to this Agreement must be made in writing and signed by the parties.

4. If any of the provisions of this Agreement are found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision(s) shall be deemed modified to the limited extent required to permit enforcement of the Agreement as a whole.

WHEREFORE, the parties acknowledge that they have read and understand this Agreement and voluntarily accept the duties and obligations set forth herein.
